By creating a TerawattOS account, accessing the platform, ordering Terawatt Edge hardware, or clicking "I agree" during onboarding, you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not use our services. Continued use of the platform after any update to these Terms constitutes acceptance of the updated version.

The hardware warranty does not cover: damage from misuse, accident, or improper installation; normal wear and tear; damage caused by operation outside specified environmental parameters; or devices that have been modified or repaired by anyone other than Terawatt.

You are solely responsible for the accuracy, legality, and appropriateness of Customer Data. Terawatt does not verify Customer Data and is not liable for any errors, omissions, or inaccuracies in Customer Data.
You represent and warrant that you have all necessary rights to submit Customer Data to TerawattOS, including data from OEM systems connected via integration. You are responsible for obtaining any consents required under applicable law to process data related to third parties (e.g. tenants, off-takers) within the Platform.
We recommend you maintain independent backups of critical Customer Data. Terawatt's backup and retention practices are described in our Privacy Policy.

TerawattOS supports integrations with third-party OEM platforms (SMA, Huawei FusionSolar, SolarEdge, and others). These integrations are provided for convenience. Terawatt does not control and is not responsible for:
We will use reasonable efforts to maintain integrations but do not guarantee uninterrupted connectivity with third-party services. Changes to an OEM's API that break integration are not a breach of our SLA.
For Growth and Enterprise subscribers, Terawatt targets 99.5% monthly Platform availability, excluding scheduled maintenance and events beyond our reasonable control ("Uptime SLA").
Scheduled maintenance windows will be communicated at least 48 hours in advance via email or in-platform notification. We aim to schedule maintenance during off-peak hours.
If Platform availability falls below 99.5% in any calendar month, eligible customers may request a service credit equal to 10% of that month's subscription fee per percentage point below the SLA, up to a maximum of 30% of the monthly fee. Service credits are applied against future invoices and are not redeemable for cash.
The Uptime SLA does not cover: downtime caused by Customer's actions or configurations; third-party OEM API outages; force majeure events; or beta or pilot status.
Each party agrees to hold the other's confidential information in strict confidence, using at least the same degree of care it uses for its own confidential information (but no less than reasonable care), and not to disclose it to any third party except by personnel who need to know it for the purposes of these Terms.
Confidential information does not include information that: (a) is or becomes publicly available without breach of this agreement; (b) was already known to the receiving party before disclosure; (c) is independently developed without reference to the disclosing party's confidential information; or (d) is required to be disclosed by law or court order.
These confidentiality obligations survive termination of these Terms for a period of 3 years.
Terawatt warrants that: (a) it has the right to provide the Platform under these Terms; (b) the Platform will perform materially as described in the documentation; and (c) it will provide the services with reasonable care and skill.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM AND EDGE DEVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, Terawatt disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Terawatt does not warrant that: (a) the Platform will meet all of your requirements; (b) operation will be uninterrupted or error-free; or (c) telemetry data will be 100% accurate, current, or complete. Telemetry accuracy is subject to the quality of sensor hardware, OEM APIs, and connectivity beyond Terawatt's control.
To the maximum extent permitted by applicable law:
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise). Some jurisdictions do not allow certain limitations of liability, in such cases, the limitation will apply to the fullest extent permitted.
Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded by law.
You agree to defend, indemnify, and hold harmless Terawatt and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Platform or Edge Devices in violation of these Terms; (b) Customer Data; or (c) your violation of any applicable law; or (d) your infringement of any third-party right.

4. Effect of termination
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Disputes that cannot be resolved amicably within 30 days will be referred to arbitration under the rules of the Lagos Court of Arbitration, with a seat arbitration, conducted in English, seated in Lagos.
Nothing in this section prevents either party from seeking urgent injunctive relief from a competent court.
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email and through in-platform notification. If you continue to use TerawattOS after the effective date of the updated Terms, you accept the changes. If you do not accept the changes, you may cancel your subscription before the effective date.
